These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Talentrank Teknoloji Anonim Şirketi ("Talentrank," "Company," "we," "us," or "our") concerning your access to and use of the website located at www.talentrank.ai (the "Site") as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.

1. ABOUT TALENTRANK

Talentrank Teknoloji Anonim Şirketi ("Talentrank") is a Turkish joint stock company located at Cozone, ODTÜ Teknokent, Mustafakemal Mahallesi, Ankara, Turkey. Talentrank provides AI-powered recruitment solutions, including but not limited to candidate screening, assessment, live and asynchronous interviews, performance scoring, and analytics tools (collectively, "Services"). The Services are designed to help employers ("Employer Users") manage and optimize their hiring process. The platform also serves candidates ("Candidate Users"), who may participate in assessments and interviews.

2. ELIGIBILITY

  1. The Services are intended for users who are at least 13 years of age. All users who are minors (generally under the age of 18) must have the permission and direct supervision of their parent or guardian to use the Services.

  2. By using the Services, you represent and warrant that you are (a) at least 13 years old; (b) not a person who is barred from using these Services under any applicable laws; and (c) will comply with all applicable laws and regulations.

3. USER REGISTRATION AND ACCOUNTS

  1. Account Creation: You may be required to register an account and provide certain personal information (e.g., name, email address) to access some or all features of the Services. You agree that all registration information you submit will be true, accurate, current, and complete, and you will promptly update such information as necessary.

  2. Account Security: You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use or suspected breach of security.

  3. Multiple Roles: The platform may offer multiple user roles, such as Employer Users and Candidate Users. Separate or additional terms may apply to each role. By switching roles or accessing role-specific functionalities, you agree to comply with all relevant policies.

4. OUR SERVICES

  1. Service Description: Talentrank offers an AI-driven talent assessment and interview platform. Employers can evaluate candidates through live or asynchronous interviews, skill tests, AI-based evaluations, and data analytics. Candidates may participate in these assessments and interviews.

  2. No Guarantee of Employment: While Talentrank aids in the hiring process, it does not guarantee job placement or hiring outcomes. Employers are solely responsible for their hiring decisions.

  3. Local Law Compliance: The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law. If you choose to access the Services from other locations, you do so on your own initiative and are responsible for compliance with local laws.

  4. Industry-Specific Regulations: The Services are not tailored to comply with industry-specific regulations (such as HIPAA, GLBA, etc.). If your interactions would be subject to such laws, you may not use the Services in a manner that violates those regulations.

  5. Service Modifications: We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

5. INTELLECTUAL PROPERTY RIGHTS

  1. Our Intellectual Property: Unless otherwise indicated, the Services and their original content (including but not limited to source code, designs, logos, text, videos, graphics, and databases) are owned or controlled by Talentrank or licensed to Talentrank. These are protected by copyright, trademark, and other intellectual property laws.

  2. Limited License: Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your internal business purposes (if you are an Employer User) or personal use (if you are a Candidate User).

  3. Restrictions: You agree not to (a) copy, reproduce, distribute, republish, display, post, or transmit any part of the Services; (b) remove, alter, or obscure any proprietary notices; or (c) use the Services in a commercial manner not permitted by these Terms without our express written permission.

  4. Feedback: If you submit any ideas, suggestions, or feedback to us regarding the Services ("Submissions"), you grant us an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, and create derivative works from such Submissions for any purpose.

6. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. All registration information you submit will be true, accurate, current, and complete.

  2. You have the legal capacity, and if a minor, have received parental permission to use the Services.

  3. You will not use the Services for any illegal or unauthorized purpose.

  4. Your use of the Services will not violate any applicable law or regulation.

  5. If you are registering on behalf of a legal entity, you have the authority to bind that entity to these Terms.

7. PAYMENT AND SUBSCRIPTIONS

  1. Subscription Plans: Certain parts of the Services may require a paid subscription or usage-based fee. Applicable fees, billing cycles, and payment methods will be described on our Site or in a separate agreement.

  2. Payment Methods: You agree to provide current, complete, and accurate billing information and authorize us to charge your payment method.

  3. Free Trials: We may offer free trial periods. Once a free trial ends, you will be charged according to the plan you selected unless you cancel prior to the end of the trial.

  4. Cancellation: You can cancel a subscription at any time, but cancellation will only take effect at the end of the current billing cycle. All fees paid are non-refundable unless otherwise stated.

  5. Price Changes: We reserve the right to change subscription fees at any time. We will provide notice of such changes. Continued use after the effective date of the price change constitutes acceptance.

8. FREE TRIAL

  1. If offered, a free trial period may be available for new users. The terms of any free trial, including the duration, will be indicated at sign-up.

  2. Your account may not be charged during the free trial period. However, at the end of the free trial, you will be automatically charged for the applicable subscription unless you cancel before the trial ends.

9. CANCELLATION

  1. You may cancel your subscription through your account settings or by contacting support@talentrank.ai. Cancellation will be effective at the end of your current billing cycle, and you will not receive a refund for any amounts already paid.

  2. If you are unsatisfied with our Services, you may contact us at any time to discuss potential remedies or solutions.

10. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

  1. Systematically retrieving data or content to create or compile a collection, database, or directory without written permission.

  2. Circumventing, disabling, or interfering with security-related features or features that enforce limitations on the use of the Services.

  3. Uploading or transmitting viruses, malware, or any content that disrupts the normal use of the Services.

  4. Using any automated system, such as bots or scripts, to scrape or access the Services without permission.

  5. Attempting to impersonate another user or person, or using the username of another user.

  6. Harassing, annoying, intimidating, or threatening any of our employees or agents providing any portion of the Services.

  7. Using the Services as part of any effort to compete with us.

  8. Violating any applicable laws or regulations.

11. USER-GENERATED CONTRIBUTIONS AND CONTENT

  1. Contributions: The Services may invite you to create, post, or upload content ("Contributions"), such as comments, feedback, profile data, or assessment responses.

  2. Ownership: You retain ownership of any Contributions you post. However, by posting Contributions, you grant Talentrank a worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, distribute, and display your Contributions in any media format.

  3. Prohibited Content: You agree not to post any content that is unlawful, defamatory, harassing, threatening, infringing, or otherwise objectionable. We reserve the right to remove or edit any Contributions.

  4. Monitoring: While we may monitor and remove certain content, we have no obligation to do so. We disclaim all liability arising from user-generated content.

12. PRIVACY POLICY AND DATA HANDLING

  1. Privacy Policy: We care about data privacy and security. Our full Privacy Policy is incorporated by reference into these Terms. By using the Services, you agree to our Privacy Policy.

  2. Data Use: We collect, store, and process candidate information (including personal details and interview responses) solely to provide our AI-driven Services. This may include:

    • Personal data such as name, email, and role.

    • Assessment data, including answers, ratings, and performance scores.

  3. Confidentiality: We treat all candidate data as confidential and implement industry-standard security measures, including encryption and strict access controls.

  4. Data Sharing: We do not sell candidate data. We only share data with:

    • The organization (Employer User) that has initiated or sponsored the assessment.

    • Third-party service providers who assist us in delivering our Services (under strict confidentiality agreements).

    • Law enforcement or regulatory authorities, if required by law.

  5. Data Retention: We retain candidate data only as long as needed for the stated purposes or as required by law. Afterwards, data is securely deleted or anonymized.

  6. Candidate Rights: Candidates may request access, correction, or deletion of their data by emailing support@talentrank.ai.

  7. International Data Transfers: If you access the Services from outside Turkey, your information may be transferred to, stored, or processed in Turkey or other jurisdictions. By using our Services, you consent to such transfers.

13. USER RESPONSIBILITIES

  1. Candidate Users: You are responsible for providing accurate and up-to-date information in your profile, application, and assessments. You acknowledge that potential employers may rely on your accuracy.

  2. Employer Users: You represent and warrant that your job postings, interview questions, and other materials comply with all applicable laws, including employment and anti-discrimination laws. You are solely responsible for your hiring decisions.

14. COPYRIGHT INFRINGEMENT

  1. If you believe any content on our Services infringes your copyright, please contact support@talentrank.ai with a detailed notice.

  2. We will respond to valid DMCA or similar notices in accordance with applicable law.

15. TERM AND TERMINATION

  1. Term: These Terms shall remain in full force and effect while you use our Services.

  2. Termination by Us: We reserve the right to deny access to and use of the Services (including blocking certain IP addresses) to anyone for any reason or for no reason, without notice.

  3. Termination by You: If you wish to terminate these Terms, you may simply discontinue using the Services or close your account. Your obligations and liabilities incurred prior to the termination date shall survive termination.

16. MODIFICATIONS AND INTERRUPTIONS

  1. Modifications: We reserve the right to change, modify, or remove the contents of the Services or these Terms for any reason at our discretion without notice.

  2. Interruptions: We do not guarantee the Services will always be available. We may experience hardware or software problems, or need to perform maintenance, resulting in interruptions or errors.

  3. No Liability: We will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during downtime.

17. DISCLAIMERS

  1. AS-IS AND AS-AVAILABLE: THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK.

  2. NO WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

  3. NO GUARANTEE: WE MAKE NO GUARANTEES ABOUT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF THE SERVICES OR CONTENT. EMPLOYERS ARE SOLELY RESPONSIBLE FOR THEIR HIRING DECISIONS.

18. LIMITATIONS OF LIABILITY

  1. No Indirect Damages: IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

  2. Maximum Liability: NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

  3. Exclusions: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR WARRANTIES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

19. INDEMNIFICATION

You agree to defend, indemnify, and hold Talentrank, its subsidiaries, affiliates, officers, agents, and employees harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, arising out of or related to:

  1. Your Contributions;

  2. Your use of the Services;

  3. Your breach of these Terms;

  4. Your violation of any law or regulation; or

  5. Your infringement of any third-party right, including intellectual property or privacy rights.

You agree to defend, indemnify, and hold Talentrank, its subsidiaries, affiliates, officers, agents, and employees harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, arising out of or related to:

20. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. Although we perform routine backups of data, you are responsible for all data that you transmit, and you agree that we shall have no liability to you for any loss or corruption of such data.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Using the Services, sending emails to us, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

22. GOVERNING LAW AND DISPUTE RESOLUTION

  1. Governing Law: These Terms and your use of the Services are governed by and construed in accordance with the laws of the Republic of Turkey, without regard to conflict of law principles.

  2. Dispute Resolution: Any dispute arising from these Terms or the use of the Services shall be brought in the courts located in Ankara, Turkey, and you consent to the exclusive jurisdiction of such courts.

  3. Informal Negotiations: The parties agree to use best efforts to resolve any disputes informally for at least thirty (30) days before initiating legal action.

23. CALIFORNIA USERS AND RESIDENTS

If you are a California resident and have a complaint, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

24. MISCELLANEOUS

  1. Entire Agreement: These Terms and any policies or operating rules posted by us constitute the entire agreement and understanding between you and us.

  2. Severability: If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions.

  3. No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

  4. Assignment: We may assign our rights and obligations under these Terms to another entity at any time.

  5. No Joint Venture: No joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms or use of the Services.
